These terms are an agreement between Softup LLC (“FurniOps”, “we”) and the organisation that signs up (“Customer”, “you”). The person accepting them confirms they may bind the organisation.
1.The service
FurniOps works with furniture vendor catalogue data. It:
- fetches it from the sources you connect: vendor APIs, websites, files and feeds;
- normalises it;
- matches it.
It delivers the data to your systems through an API, webhooks, a change feed, exports, a dashboard and an MCP server for AI agents. Features and limits depend on your plan (see pricing).
Organisation kinds. An organisation is a retailer or a vendor. A vendor publishes its catalogue and licenses it to the retailers it names. A retailer receives the licensed catalogues and its own sources' data. Licensed catalogues are governed by the data agreement the vendor signs in FurniOps as well as these terms.
2.Accounts
- Each person has their own account. An account can belong to several organisations, with a role in each.
- Keep credentials secret. Use multi-factor authentication where it is offered.
- You are responsible for activity under your organisation's accounts, API keys and OAuth apps.
- Tell us at once at [email protected] if you suspect misuse.
- Keys reported to us as leaked are revoked automatically, unless your organisation chose to review them first.
3.Your data and your sources
You own your data. You give us the rights we need to provide the service: to fetch, store, process and deliver your data. That includes sending catalogue content to AI model providers when you use AI features. You can turn AI agents off.
You must have the right to use the sources you connect. You hold the vendor credentials and the permission to use them, and fetching complies with the vendor's terms.
FurniOps fetches at a limited rate and honours robots rules where they apply. It stops a source that refuses it, and we may pause a source that harms a vendor's site.
Licensed catalogues. A vendor's licensed catalogue may be used only as its licence allows. When a licence ends, the retailer's access to that catalogue ends with it. A licensed catalogue is not part of the retailer's own data export (section 8).
Personal data in your organisation is processed on your behalf under our Data Processing Addendum, which you can ask for at [email protected]. Do not send special-category data. How we handle the personal data we control ourselves is in the Privacy Policy.
Accuracy. Catalogue data comes from your vendors and from automated processing, including AI matching. It may contain errors. You decide what to publish.
4.Acceptable use
You will not:
- break the law or others' rights;
- attempt to access another organisation's data;
- probe, scan or load-test FurniOps without our written permission;
- get around rate limits or plan limits;
- resell the service except as your plan allows;
- send malware.
We apply rate limits. Under heavy load we may slow or refuse requests to protect all customers. API responses say when to retry.
5.AI features
AI features send catalogue content to third-party model providers, listed on the subprocessors page.
- AI proposals are applied only within the autonomy you set per catalogue.
- Each AI agent can be switched off for your organisation.
- We cap AI spending across the platform; the default is $25 a day. When the cap is reached, AI calls are refused, and each refusal is recorded, until the daily budget resets. The rest of the service keeps working.
6.Availability and support
- We announce planned maintenance ahead where possible.
- We post incidents on our status page.
7.Fees
Plans and their prices are on the pricing page. Paid plans are billed monthly or annually, in advance, by card through Stripe. Prices exclude taxes, which are added where they apply.
8.Term, termination, export and deletion
Stopping. You can stop at any time, and cancel your plan at the end of the period.
Export while active. You can export your data through the API while your account is active.
- A retailer's owners and admins can download a full archive of the organisation's own data: sources, mappings, runs and products; webhooks and deliveries; audit events; request logs.
- Vendor organisations get their data through the API, and on request.
- Each person can download the data held about their own account as one file.
Deleting your account. You can delete your account in its settings. It is deleted immediately, and this cannot be undone. If you were the only member of an organisation, that organisation is deleted too.
Deleting your organisation. An owner can delete the organisation from its settings. Any paid subscription ends at once, with no proration and no final invoice. Then every member is removed, keys and apps are revoked, and the organisation's data is deleted. There is no grace period and no undo, so export first.
Backups. Deleted data ages out of our backups within 30 days.
9.Suspension
We may suspend access for:
- non-payment;
- a security risk;
- a breach of section 4.
We give notice where reasonable. For an urgent security risk, for example a compromised key, we may act first and tell you straight after.
10.Changes to these terms
We give notice of material changes by email to organisation owners before they take effect. Each version is listed below with the day it took effect.
11.General
An order form comes first, then the Data Processing Addendum for data protection, then these terms.
